These Terms of Service (“Terms“) are a legal agreement between you and the company that operates Avoid Content (“Avoid Content“, “we“, “us“). Its legal name and registered address will be published in Section 21 once registration is complete. They govern your use of our website, web application, AI Checker, API and related services (together, the “Service“).
By creating an account, purchasing tokens or using the Service, you agree to these Terms and confirm you have read our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” means that organization.
1. Definitions
- Account — your registered account on the Service.
- Workspace — a shared space within the Service where one or more users create and manage content.
- Inputs — anything you submit to the Service: topics, notes, settings, brand profile, instructions, files and edits.
- Outputs — content the Service generates or returns to you: articles, outlines, research summaries, quality and AI-pattern scores, suggestions.
- Customer Content — Inputs and Outputs together.
- Tokens — prepaid units used to pay for features of the Service.
- Consumer — an individual acting for purposes outside their trade, business, craft or profession.
- Business User — anyone who is not a Consumer, including freelancers and sole traders using the Service for their work.
2. Eligibility and accounts
2.1 You must be at least 18 years old to use the Service.
2.2 You must provide accurate account information and keep it up to date.
2.3 You are responsible for keeping your login credentials and API keys confidential and for all activity under your Account. Tell us immediately at support@avoidcontent.com if you suspect unauthorized access.
2.4 An Account is for one person. Do not share login credentials. To work with others, invite them to your Workspace.
2.5 Workspaces. The person who creates a Workspace (the “Workspace Owner“) controls it: they can invite and remove members, assign roles, and manage its content and tokens. Members can spend Workspace tokens within the roles assigned by the Workspace Owner. If you join a Workspace owned by an organization, that organization may access and control the content you create in it.
3. The Service
3.1 The Service helps you research, generate, edit and check written content using third-party AI models and search data.
3.2 AI Checker. Parts of the Service, such as AI Checker, may be available without an Account. These Terms apply to that use as well.
3.3 Changes. We continuously improve the Service and may add, change or remove features, AI models or providers. If we remove a feature you paid for with tokens you have not yet spent, your unspent tokens remain usable for the rest of the Service. If a change materially reduces the Service for Consumers, we will give reasonable notice, and you may close your Account and request a refund of unused purchased tokens.
3.4 Beta features are labelled as such, may be incomplete, and may be changed or withdrawn at any time.
3.5 Availability. We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. Maintenance, outages of our providers and events outside our control may affect it.
4. Tokens, prices and payment
4.1 What tokens are. Tokens are prepaid units you use to pay for features of the Service, such as article generation. Tokens are not money, have no cash value, cannot be exchanged for cash (except as required by law or stated in these Terms), and cannot be transferred or sold to another Account. Tokens belong to the Workspace in which they were purchased. You may move tokens between Workspaces you own where the Service allows it, either in the Service or by contacting support.
4.2 Token packs. You can buy token packs at the prices shown on our Pricing page at the time of purchase. Prices are set in US dollars (USD) exclusive of tax. Applicable taxes, such as VAT or sales tax, are calculated based on your location and shown before you pay. If you are a Consumer in the EU/EEA or UK, prices are displayed to you inclusive of VAT.
4.3 Purchased tokens do not expire while your Account is open.
4.4 Bonus tokens. We may give you free tokens, for example when you sign up or as part of a promotion (“Bonus Tokens“). Bonus Tokens have no monetary value, cannot be refunded, and may be subject to additional conditions, such as an expiry date, which we will tell you about when you receive them. The Service shows the order in which Bonus Tokens and purchased tokens are spent. We may cancel Bonus Tokens obtained through abuse, such as creating multiple Accounts.
4.5 Cost of a generation. Before you start a paid action, the Service shows the estimated number of tokens it will use. When you start it, we reserve those tokens. If the action fails or you cancel it before it completes, the reserved tokens are returned to your balance. The final charge will not exceed the estimate shown.
4.6 Price changes. We may change token prices and the number of tokens a feature costs. Changes do not affect tokens you have already purchased or actions already started. We will show current costs in the Service before you use a feature.
4.7 Payment. Where our order process is conducted by an online reseller acting as the merchant of record (the reseller is named on the checkout page), the reseller sells tokens to you, processes payments, calculates and collects taxes, and handles payment-related customer service and returns. The reseller’s buyer terms apply to your purchase in addition to these Terms. Where we use a payment processor that is not a merchant of record, we are the seller and you authorize us and our payment processor to charge your chosen payment method.
4.8 Chargebacks. If you dispute a charge with your bank without first contacting us, we may suspend your Account while the dispute is resolved and remove the tokens from that purchase.
4.9 Subscriptions are not currently offered. If we introduce them, we will add terms for them before they become available.
5. Refunds and cancellation
5.1 Tokens are non-refundable, except as stated in this Section, in Section 14.4, or where required by law. A summary is available in our Refund Policy.
5.2 Failed generations. If a paid action fails for a reason on our side, the tokens are returned to your balance (Section 4.5). If an Output is materially defective — for example, empty or truncated — contact us within 14 days and we will return the tokens or regenerate the Output.
5.3 Right of withdrawal for Consumers in the EU/EEA and UK. When you buy tokens as a Consumer in the EU/EEA or UK, you tick a box to confirm that you (a) expressly request that your tokens are made available immediately and that you start using them at once, and (b) agree to this Section 5.3.
By giving this consent, you acknowledge that you lose your right to withdraw from the purchase within 14 days and get a refund. The purchase is not refundable, except as stated in Section 5.2 and Section 14.4 or where required by law.
5.4 Nothing in these Terms affects your statutory rights as a Consumer.
6. Your content
6.1 You own your Customer Content. As between you and us, you retain all rights in your Inputs and, to the extent permitted by law, we assign to you any rights we may have in the Outputs.
6.2 License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content only as needed to provide, maintain, secure and support the Service for you, including sending it to our service providers as described in our Privacy Policy. This license ends when the Customer Content is deleted from the Service, except for backups kept for the period stated in our Privacy Policy.
6.3 No training. We do not use your Customer Content to train or fine-tune AI models, and we do not allow our AI providers to do so. If this ever changes, we will tell you in advance and ask for your separate consent. We may use aggregated or de-identified usage data that does not reveal your Customer Content to operate and improve the Service.
6.4 Your responsibility for Inputs. You confirm that you have all rights needed to submit your Inputs and that they do not infringe anyone’s rights or break any law. Do not submit special categories of personal data (such as health data) or other people’s personal data unless you have a lawful basis to do so.
6.5 Similar Outputs. Due to the nature of AI, Outputs may be similar to content generated for other users. Other users’ Outputs are not your Customer Content, and your rights in Section 6.1 do not extend to them.
6.6 Copyright in AI Outputs. Copyright protection for AI-generated material varies by country and may be limited or unavailable where there is insufficient human creative contribution. We do not guarantee that Outputs are protectable by copyright or other intellectual property rights.
6.7 Feedback. If you send us ideas or suggestions about the Service, we may use them without obligation to you.
7. AI-generated content: important limitations
7.1 Outputs may be wrong. AI can produce content that is inaccurate, incomplete, outdated, biased or misleading, including statistics, quotes and citations. Our research and verification features reduce but do not eliminate these risks.
7.2 You must review Outputs before use. You are responsible for reviewing, fact-checking and editing Outputs before publishing or relying on them, and for everything you publish.
7.3 Not professional advice. Outputs are not financial, investment, legal, tax, medical or other professional advice. If you publish content on such topics, you are responsible for having it reviewed by a qualified person and for complying with rules that apply to such content in your industry and country.
7.4 Third-party material. Outputs may reference or summarize third-party sources. You are responsible for checking that your use of such material, including quotes, is lawful.
7.5 No guaranteed results. We do not guarantee any particular search engine ranking, traffic, conversions, or outcome of any AI-detection, plagiarism or quality tool, including our own. In particular, we do not guarantee that Outputs will or will not be identified as AI-generated by any detection tool. Quality, brand-compliance and AI-pattern scores are automated estimates, not certifications.
8. Acceptable use
8.1 You must use the Service lawfully and in line with these Terms. You must not use the Service to create, publish or distribute content that:
a) is illegal, fraudulent, defamatory, harassing, hateful or threatens violence;
b) infringes intellectual property, privacy or other rights of others;
c) is spam, phishing or malware;
d) consists of fake reviews, testimonials, endorsements or comments, or impersonates a real person or organization;
e) is disinformation, or is designed to mislead people about facts, including about elections, public health or financial products;
f) sexualizes minors or is otherwise harmful to children;
g) is submitted as your own work in an academic setting in breach of the rules that apply to you.
8.2 Honesty about AI. You must not present Outputs as created solely by a human in order to deceive others, and you must comply with any laws, platform rules or contractual obligations that require you to disclose that content was generated or assisted by AI. You are responsible for AI disclosure and labelling obligations that apply to you as the publisher, including when you publish Outputs to inform the public without human review. Outputs may carry machine-readable marks identifying them as AI-generated, added by us or our AI providers. You must not remove or alter such marks.
8.3 You must not:
a) access the Service by automated means (bots, scrapers) other than through our API;
b) circumvent usage limits, token charges, security or safety measures;
c) reverse engineer, decompile or copy the Service, except where the law expressly allows it;
d) use the Service or Outputs to develop or train a competing product or AI model;
e) resell, sublicense or provide the Service to third parties (including as a white-label service) without our written agreement;
f) test the security of the Service or interfere with its operation without our written permission;
g) create multiple Accounts to obtain Bonus Tokens or evade a suspension.
8.4 Our AI providers’ policies. Our AI model providers have their own usage policies. The restrictions in this Section are designed to reflect them. If we tell you that a particular use is blocked by a provider, you must not try to work around it.
8.5 We may review, block or remove content, or refuse to generate an Output, when we reasonably believe it breaks this Section or the law.
9. API
9.1 Access. API access is available on the plans or conditions described on our website or in your agreement with us. Our API documentation forms part of these Terms.
9.2 API keys are confidential. You are responsible for all use of your keys and all tokens spent through them. Revoke a key immediately if it is compromised.
9.3 Limits. We may set and change rate limits, concurrency limits and quotas to protect the Service. Current limits are described in the documentation.
9.4 Your applications. If you build an application on the API, you are responsible for it and for its users, including providing them with any required terms, privacy notices and AI disclosures. Your users must not be led to believe that your application is provided by us.
9.5 Changes. We may change the API. We will give at least 30 days’ notice of changes that break backward compatibility, unless a change is needed urgently for security or legal reasons.
10. Third-party services
The Service lets you sign in with third-party accounts (for example, Google) and may link to third-party websites and sources. Your use of those services is governed by their own terms. We are not responsible for third-party services.
11. Our intellectual property
The Service, including its software, design, workflows, prompts, rulesets, documentation and brand, belongs to us or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service while your Account is active. We reserve all rights not expressly granted.
12. Privacy and data protection
Our Privacy Policy explains how we process personal data. If you are a business customer and your Customer Content includes personal data for which you are the controller, our Data Processing Agreement applies. Business Users may request it at support@avoidcontent.com.
13. Suspension
We may suspend your access to all or part of the Service if:
a) you materially or repeatedly breach these Terms;
b) your use creates a security risk or may harm the Service, other users or third parties;
c) we are required to do so by law or by a competent authority; or
d) a payment is disputed or fails.
Where reasonable, we will tell you in advance and give you a chance to fix the issue. We will lift the suspension once the reason no longer applies.
14. Termination
14.1 By you. You can stop using the Service at any time and ask us to delete your Account at support@avoidcontent.com, or delete it in Settings where this is available.
14.2 By us. We may terminate your Account (a) for a material breach of these Terms that you have not fixed within 14 days of notice, or immediately for a serious breach (such as fraud or illegal content); (b) if required by law; or (c) for any other reason with at least 30 days’ notice.
14.3 Effect. When your Account ends, your right to use the Service ends, and we delete Customer Content as described in our Privacy Policy. Before closing your Account, export any content you want to keep.
14.4 Unused tokens on termination.
- If you close your Account, unused purchased tokens are forfeited, except where you are entitled to a refund under Section 5 or by law.
- If we terminate under Section 14.2(c) (without cause), or discontinue the Service, we will refund unused purchased tokens at the price you paid.
- If we terminate for your breach, unused tokens are forfeited, to the extent permitted by law.
- Bonus Tokens are never refunded.
14.5 Sections 4.8, 6.5–6.7, 7, 11, 14.3–14.4 and 15–19 survive termination.
15. Disclaimer of warranties
To the maximum extent permitted by law, the Service and Outputs are provided “as is” and “as available“. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
If you are a Consumer, this Section does not limit your statutory rights, including rights that digital content and services are of satisfactory quality, fit for purpose and as described.
If the law where you live does not allow any of these limitations, they apply to you only to the extent the law allows. Your mandatory rights under local law are not affected.
16. Limitation of liability
16.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded by law.
16.2 Business Users. Subject to Section 16.1, we are not liable for any loss of profits, revenue, business, goodwill or data, or for any indirect, incidental, special or consequential damages. Our total liability arising out of or relating to these Terms or the Service in any 12-month period is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to liability and (b) USD 100.
16.3 Consumers. We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, or for business losses — the Service is provided to you for private purposes.
16.4 Your obligations. The limits in Section 16.2 do not apply to your obligation to pay for the Service, to your breach of Section 8, or to your obligations under Section 17.
16.5 If the law where you live does not allow any of these limitations, they apply to you only to the extent the law allows. Your mandatory rights under local law are not affected.
17. Indemnity (Business Users only)
If you are a Business User, you will defend and indemnify us against third-party claims, and related losses, damages and reasonable legal costs, arising from (a) your Inputs, (b) content you publish using Outputs, or (c) your breach of Section 8 or applicable law. This Section does not apply to Consumers.
18. Changes to these Terms
We may update these Terms. We will notify Account holders of material changes by email or in the Service at least 30 days before they take effect, unless a change is required by law or relates to a new feature. If you do not agree, you can close your Account before the changes take effect and, if you are a Consumer, receive a refund of unused purchased tokens. Continuing to use the Service after the changes take effect means you accept them.
19. Governing law and disputes
19.1 These Terms are governed by the laws of the country where the company is registered. That country will be named here once registration is complete.
19.2 Consumers in the EU/EEA and UK also benefit from the mandatory consumer protection rules of the country where they live, and may bring proceedings in the courts of that country.
19.3 Before starting formal proceedings, please contact us at support@avoidcontent.com so we can try to resolve the issue informally within 30 days.
19.4 Business Users. Disputes with Business Users are subject to the exclusive jurisdiction of the courts of the country where the company is registered. Consumers may bring proceedings as described in Section 19.2.
20. General
20.1 Entire agreement. These Terms, the Privacy Policy and any documents referenced in them are the entire agreement between you and us about the Service. A separate signed agreement with us (for example, an Enterprise agreement) prevails where it conflicts with these Terms.
20.2 Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
20.3 No waiver. If we do not enforce a right, we do not waive it.
20.4 Assignment. You may not transfer your rights under these Terms without our consent. We may transfer our rights to a successor in a merger, acquisition or sale of assets; for Consumers, only if this does not reduce your rights.
20.5 Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of third-party providers.
20.6 Sanctions and export. You must not use the Service in breach of applicable sanctions or export control laws. You must not use the Service if you are located in, or are a person subject to sanctions by, the EU, UK, US or UN, or by the country where the company is registered. We may block access from regions where sanctions apply or where our AI or payment providers do not operate.
20.7 Notices. We send notices to the email address on your Account. You can send notices to support@avoidcontent.com.
20.8 Language. These Terms are written in English. Translations are for convenience; the English version prevails, unless consumer law requires otherwise.
